1.1   By starting a paid plan you commit to the full annual term. Choosing monthly instalments spreads the annual fee across the year; it does not convert the agreement into a month-to-month subscription. 1.2   Paid amounts are in euros (EUR) and exclusive of applicable taxes (e.g., VAT), which are added where required. Bid credits (1 credit = 1 AI-assembled submission to local standards) are non-refundable once activated; unused credits roll over for 90 days upon renewal.

2.1   Consumer vs business distinction. The statutory 14-day right of withdrawal under the EU Consumer Rights Directive (2011/83/EU) applies to consumers — individuals acting outside their trade, business, craft, or profession. CanProcX EU is a business-to-business (B2B) service, and most subscribers contract as businesses, to whom the statutory consumer withdrawal right does not apply.

2.2   If you qualify as a consumer, you have the right to withdraw from your subscription within 14 days of entering into the contract, without giving any reason. To withdraw, send a clear statement to ai.help@canprocx.ca before the 14-day period expires. A consumer who withdraws within this window, before any bid credit has been activated, is entitled to a refund of amounts paid, subject to clause 2.3.

2.3   Digital service & immediate access. If, as a consumer, you ask us to begin providing the digital service during the 14-day window and acknowledge that you will lose the withdrawal right once the service is fully performed (or agree to pro-rata payment for service used), this may affect your refund. 3.1   Paid plans are sold on an annual agreement and billed in EUR, either annually in advance or in monthly instalments on the annual commitment, and auto-renew until cancelled. Payments are processed by Stripe.

3.2   You authorise these charges when you subscribe. You can stop future renewals at any time by cancelling (Section 4); cancellation takes effect at the end of your current paid term.

4.1   You can cancel auto-renewal of your plan at any time. To cancel:

• Use the cancellation option in your account / billing settings; or
• Email ai.help@canprocx.ca with your account email and a request to cancel.

5.1   Paid plans are sold as an annual agreement, and a free Discovery tier lets you evaluate the Service before committing. Fees for the current term are generally non-refundable once the term has begun, and activated bid credits are non-refundable, except where a refund is required by applicable EU or member-state consumer law (including any applicable 14-day withdrawal right under Section 2) or where we agree to one at our discretion.

• Consumer withdrawal — where a consumer validly withdraws within 14 days (Section 2), before any bid credit is activated, any payment taken is refunded, subject to clause 2.3.
• Billing errors / duplicate charges — refunded once verified.
• Service unavailability — material, prolonged unavailability may be addressed by a credit or pro-rata refund at our discretion. [confirm policy with counsel]

5.2   Approved refunds are issued in euros (EUR) to the original payment method via Stripe, typically within [e.g., 14 days] of approval. Timing for funds to appear depends on your bank or card issuer.

6.1   The Defence / Secure tier (€17,500/yr) follows the same annual-agreement, cancel-at-period-end model, unless a separate written agreement with its own commitment, cancellation, and refund terms applies, in which case that agreement prevails. Consultant-led / fully-managed complex bids are a separate, custom-quoted add-on (not bid credits), governed by the applicable statement of work. 7.1   Please contact us at ai.help@canprocx.ca before initiating a chargeback so we can resolve the issue directly. Unwarranted chargebacks may result in suspension of your account.

8.1   We may update this Policy from time to time. The “Effective” date and version above indicate when it was last revised. Material changes will be communicated by posting the updated Policy and, where appropriate, by notifying you directly.
