This Policy explains how subscriptions to CanProcX (operated by Canadian Procurement Exchange Inc.) are billed, how to cancel, and when refunds may be available. It forms part of, and should be read together with, our Terms of Service.

1.1   By starting a paid plan you commit to the full annual term. Choosing monthly instalments spreads the annual fee across the year; it does not convert the agreement into a month-to-month subscription.

1.2   Where required, we will send a renewal reminder before each auto-renewal. [confirm reminder cadence & required pre-renewal notice with counsel]

1.3   The free Discovery tier requires no payment. Upgrading to a paid plan begins an annual agreement under this Policy and the Terms of Service.

2.1   Paid plans, namely Stealth ($4,000 CAD/yr), Performance ($10,000 CAD/yr), Pro ($15,000 CAD/yr), and Defence / Secure ($25,000 CAD/yr), are billed through Stripe, either annually in advance or in monthly instalments on the annual commitment. Credit packs are one-time purchases.

2.2   Bid credits. One bid credit = one AI-assembled submission package prepared to a tender’s local standards. Bid credits are non-refundable once activated. Unused credits roll over for 90 days upon renewal. Consultant-led / fully-managed complex bids are a separate, custom-quoted add-on and are not bid credits.

2.3   All prices are in Canadian dollars (CAD) and are exclusive of applicable taxes unless stated otherwise. CanProcX does not store full card details; these are handled by Stripe.

3.1   You can cancel auto-renewal of your plan at any time. To cancel:

1. Log in to your CanProcX account and open Account → Billing / Subscription, then select Cancel renewal; or
2. Email our support team at ai.help@canprocx.ca requesting cancellation, from the email address on your account.

4.1   Paid plans are sold as an annual agreement, and a free Discovery tier lets you evaluate the platform before committing. Accordingly, fees for the current term are generally non-refundable once the term has begun, and activated bid credits are non-refundable. The following exceptions and discretionary cases apply:

• Duplicate or erroneous charge: if you were charged in error or charged more than once for the same period, we will refund the incorrect amount.
• Failure to deliver: if the Service was materially unavailable for an extended period attributable to us, you may be eligible for a service credit or refund per the Service Level Agreement.
• Statutory rights: where applicable consumer-protection or distance-selling law (in Canada or the EU) grants you a cooling-off period or refund right, we will honour those rights. [confirm provincial & EU consumer-law requirements]
• Discretionary goodwill: we may, at our discretion, issue a partial or full refund on a case-by-case basis.

4.2   Approved refunds are issued to the original payment method via Stripe and may take several business days to appear, depending on your card issuer.

5.1   The Defence / Secure tier ($25,000 CAD/yr) follows the same annual-agreement, cancel-at-period-end model as other paid plans, unless a separate written order form or business agreement states otherwise.

5.2   Consultant-led / fully-managed complex bids are a separate, custom-quoted add-on (not bid credits). Their fees, milestones, and refund terms are governed by the applicable statement of work or written agreement, which prevails over this Policy where they conflict. 6.1   Filing a chargeback for a legitimate charge (for example, a renewal that was not cancelled in time) may result in suspension or termination of your account while the dispute is reviewed.

6.2   This Section does not limit any rights you have under applicable consumer-protection law or your card issuer’s rules.

7.1   We may update this Policy from time to time. Material changes affecting how you are billed or how you cancel will be communicated with reasonable advance notice, and will not retroactively change charges already incurred.
